Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by NoThirdParty AI, LLC ("NoThirdParty AI," "we," "us," or "our"), including our website at nothirdparty.ai and our private AI platform (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. The Service

NoThirdParty AI provides a private AI chat platform that runs on our own hardware. Your data is not transmitted to third-party AI vendors. The specific features, capabilities, and user limits for your subscription are as described on our website and in your order confirmation. Network traffic to the Service is routed through a third-party network provider (Cloudflare) solely for secure connectivity; see our Privacy Policy for details on what that provider can and cannot access. Our uptime commitment, support response targets, and service credits are set out in our Service Level Agreement.

2. Accounts and Access

We provision accounts for your team upon subscription activation. You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access to your account.

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit illegal, harmful, or fraudulent content
• Attempt to reverse-engineer, probe, or compromise our systems or infrastructure
• Resell or sublicense access to the Service without our prior written consent
• Circumvent any user limits or access controls associated with your subscription tier

4. Subscriptions and Payment

Service is billed monthly in advance. Subscriptions automatically renew at the end of each billing period unless canceled in writing before the renewal date. We use Stripe to process payments. Unused days within a billing period are non-refundable. We reserve the right to suspend access to the Service upon non-payment after a 7-day grace period following the due date.

5. Your Data

Your conversation history and any content you input into the Service remains yours. We do not claim ownership over your data. We do not use your data to train AI models. You grant us a limited license to process your data solely as necessary to provide the Service to you.

6. Our Intellectual Property

The Service, including our software, AI models, infrastructure, and website content, is owned by NoThirdParty AI and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described herein.

7. Confidentiality

We treat your data as confidential. We do not disclose your data to third parties except as necessary to operate the Service (such as network infrastructure providers, described in detail in our Privacy Policy) or as required by law. See our Privacy Policy for details on service providers we use.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose. AI outputs should be reviewed by a qualified professional before being relied upon for legal, medical, financial, or other consequential decisions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NoThirdParty AI and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you in the three calendar months immediately preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless NoThirdParty AI and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate the subscription with 30 days' written notice. We may terminate or suspend access immediately upon material breach of these Terms or failure to pay after the grace period. Upon termination, we will delete your data within 30 days. If you wish to export your data, you must request it before termination takes effect.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Nebraska, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Nebraska, and you consent to personal jurisdiction in such courts.

13. Changes to These Terms

We may modify these Terms at any time. We will notify active clients at least 30 days before material changes take effect. Continued use of the Service after that notice period constitutes your acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with any applicable Data Processing Agreement and subscription order, constitute the entire agreement between you and NoThirdParty AI regarding the Service and supersede all prior agreements or understandings.
